This document announces that Happiness and D Co., Ltd. has decided to change its certified public accountants at the 35th Annual General Meeting scheduled for November 29, 2025. The new candidate is the auditing firm Bloom, while the current auditor, ES Next LLC, will be retiring. The Audit Committee determined that Bloom's expertise, independence, and quality management system are suitable for the company. The current auditor has been in place since November 27, 2020, and the decision to end the contract is due to a reassessment of management resources. The Audit Committee believes this change is appropriate.
